1. Acceptance of terms

By accessing or using Learnify (including admin.learnify.ing, app.learnify.ing and the marketing site at learnify.ing), you agree to be bound by these Terms of Service and acknowledge our Privacy Policy, which explains how we handle personal data. If you are using Learnify on behalf of an organization, you represent that you are authorized to bind that organization.

2. The service

Learnify is a white-label learning management system provided by HabileLabs Pvt. Ltd. An “Order Form” (or Service Order) is the ordering document signed by your organization and HabileLabs that specifies the plan, seat counts, fees, term and any deployment specifics. Service availability targets and support response times are defined in the Order Form.

3. Accounts

• You are responsible for keeping your credentials secure and for all activity under your account.
• Admins are responsible for configuring SSO, roles, and learner provisioning correctly.
• Notify us at info@habilelabs.io immediately if you suspect unauthorized access.

4. Acceptable use

You agree not to:

• Upload unlawful, infringing, harmful, or malicious content.
• Reverse engineer, scrape, or attempt to disrupt the platform.
• Use Learnify to send unsolicited communications or violate applicable laws.
• Resell or sublicense the service without our written consent.

5. Customer content

You retain all rights to the courses, files and learner data you upload. You grant HabileLabs a limited, non-exclusive license to host, process and display that content solely to operate the service on your behalf. We do not use customer content to train third-party AI models.

6. Fees and billing

Subscription fees, billing cadence and seat counts are set out in your Order Form. Fees are non-refundable except where required by law or expressly stated in the order. Late payments may attract interest at the lower of 1.5% per month or the maximum permitted by law.

7. Intellectual property

Learnify, its branding, design and underlying software are owned by HabileLabs Pvt. Ltd. Except for the limited rights to use the service granted to you, no other rights are transferred.

8. Termination

Either party may terminate for material breach if the breach is not cured within 30 days of written notice. On termination, we will make customer data available for export for a period of 30 days, after which it will be deleted in accordance with our retention schedule.

9. Warranty disclaimer

Except as expressly stated in the order or a signed agreement, Learnify is provided “as is” without warranties of any kind. We do not warrant that the service will be uninterrupted or error-free.

10. Limitation of liability

To the maximum extent permitted by law, HabileLabs’ total aggregate liability arising from or related to these terms shall not exceed the fees paid by you to HabileLabs in the 12 months preceding the event giving rise to the claim.

11. Indemnification

You will indemnify and hold HabileLabs harmless from third-party claims arising out of your content, your use of the service in violation of these terms, or your violation of applicable law. HabileLabs will indemnify you against third-party claims that the Learnify platform, as provided by us and used as intended, infringes their intellectual property rights. Each party’s indemnity is conditioned on prompt notice and reasonable cooperation.

12. Force majeure

Neither party is liable for delay or failure to perform (other than payment obligations) caused by events beyond its reasonable control — including natural disasters, war, civil unrest, government action, internet or utility failures, or failures of cloud providers — provided the affected party uses reasonable efforts to mitigate and resume performance.

13. Assignment

Neither party may assign these terms without the other’s written consent, except that either party may assign them in connection with a merger, acquisition or sale of substantially all assets, with notice to the other party. Any other attempted assignment is void.

14. Severability and entire agreement

If any provision of these terms is held unenforceable, the remaining provisions stay in full effect and the unenforceable provision is modified to the minimum extent necessary. These terms, together with your Order Form and our Privacy Policy, are the entire agreement between you and HabileLabs regarding the service and supersede prior discussions. If an Order Form conflicts with these terms, the Order Form controls.

15. Governing law

These terms are governed by the laws of India and the courts at Jaipur, Rajasthan shall have exclusive jurisdiction, unless a separate jurisdiction is specified in your Order Form.

16. Changes to these terms

We may update these terms from time to time. Material changes will be announced via email or in-product notice at least 30 days before they take effect.
